Service Level Agreement

Service Level Agreement

Last updated: June 29, 2026

This Service Level Agreement (“SLA”) describes the uptime commitment, support response standards, and credit remedies that apply to your use of the Simon platform provided by Veloquix, Inc. (“Veloquix”). This SLA is incorporated into, and governed by, your Terms of Service.

1. Uptime commitment

Veloquix will use commercially reasonable efforts to maintain a monthly uptime of 99.0% for the Simon platform (the “Uptime Commitment”), measured per calendar month.

2. Downtime

“Downtime” means a continuous period during which the Simon platform is completely unavailable for inbound call handling due to a failure in Veloquix’s infrastructure. A period of downtime begins when you report the outage to Veloquix (or when Veloquix’s monitoring systems detect it, whichever is earlier) and ends when service is restored.

The following are excluded from Downtime calculations:

• Scheduled maintenance announced at least 24 hours in advance.

• Partial degradation that does not prevent call handling entirely.

• Outages caused by third-party telecommunications carriers, SIP providers, or internet infrastructure outside Veloquix’s direct control.

• Outages caused by your configuration, integrations, actions, or misuse.

• Force majeure events (natural disaster, government action, pandemic, war, or other event outside Veloquix’s reasonable control).

• Trial, sandbox, or non-production environments.

3. Service credits

If Veloquix fails to meet the Uptime Commitment in a given calendar month, you are eligible for a service credit applied to a future invoice. Service credits are your sole and exclusive remedy for an uptime failure. Credits do not apply to usage-based charges (overage minutes, messages) or one-time fees.

4. Claiming a credit

To receive a credit, submit a written request to leadership@veloquix.com within 30 days of the end of the affected calendar month. Include your account name, the approximate start and end times of each outage, and a brief description of the impact. Approved credits are applied within one billing cycle.
